A Business LPA can allow a trusted person ('attorney') to step in as an agent of an incapacitated director, preventing delays in business contracts, payments and other important tasks.
Any director of a multi-director limited company can have a Business Lasting Power of Attorney to ensure continuity if they lose mental capacity or are otherwise unable to act. Each director's BLPA appoints an attorney to act as an agent of the director so that their duties are discharged and their business interests are looked after.
Each BLPA must align with the company's Articles of Association and any Shareholders Agreement. It may be necessary to amend the Articles and the Shareholder’s Agreement.
The BLPA focuses specifically on the director's role and commercial decisions, distinct from a standard personal LPA for financial or health matters.
